If there is a conflict between those project-specific terms and these Terms, the project-specific terms will govern to the extent of the conflict.
By requesting, scheduling, or receiving services from Maple Frame Studios Inc., you acknowledge that you have read, understood, and agreed to these Terms.

You agree to cooperate with Maple Frame Studios Inc. and provide timely information, approvals, and materials necessary for us to perform the services. Your responsibilities include, without limitation:
- Providing accurate project details, contact information, and booking requirements;
- Ensuring that all locations are accessible and safe for filming;

You acknowledge that filming may be affected by weather, lighting, venue restrictions, crowd conditions, client delays, and other factors beyond our control. Delays caused by your failure to perform your responsibilities may result in additional fees.
4. Payment Terms and Conditions
All fees, deposits, retainers, taxes, and payment deadlines will be set out in the applicable quote, proposal, invoice, or service agreement. Unless otherwise stated:
- A non-refundable deposit or retainer may be required to reserve production dates;
- The remaining balance is due upon completion, delivery, or as otherwise specified in writing;
- All amounts are in Canadian dollars (CAD) unless expressly stated otherwise;
- Applicable taxes, including GST/PST/HST where applicable, will be added to the invoice;
- Late payments may accrue interest at the maximum rate permitted by applicable law, or if no rate is specified, at a reasonable commercial rate;
- We may suspend work, delay delivery, or withhold final files until outstanding amounts are paid in full.
Unless otherwise agreed in writing, quoted fees cover only the scope described in the quotation. Additional revisions, overtime, reshoots, travel beyond the agreed area, rush delivery, file conversion, or other out-of-scope services will be billed separately.
If a payment is declined, reversed, charged back, or otherwise disputed without reasonable cause, you will be responsible for any related fees, bank charges, collection costs, and administrative expenses to the extent permitted by law.
5. Cancellation and Refund Policy
Cancellations must be made in writing. Because production scheduling involves reserving time, equipment, and personnel, cancellation fees may apply as follows unless your project-specific agreement states otherwise:
- Deposit/retainer: non-refundable once the booking is confirmed;
- Short-notice cancellation: cancellations made within a specified short period before the scheduled shoot date may be subject to a fee representing booked time, labor, and expenses incurred;
- Client no-show or refusal to proceed: the full or partial project fee may remain payable if production cannot proceed due to your actions or inaction;
- Post-production cancellation: if editing work has begun, fees for work completed up to the cancellation date remain payable.
Refunds, if any, are issued only where expressly required by law or where Maple Frame Studios Inc. determines, in its sole discretion, that a refund is appropriate based on the circumstances. Completed work, partially completed work, and custom creative services are generally non-refundable.
If we must cancel or reschedule due to illness, equipment failure, safety concerns, or other legitimate operational reasons, we will use reasonable efforts to reschedule the project or provide a refund of amounts paid for undelivered services, as appropriate.
6. Liability Limitations
To the fullest extent permitted by applicable law, Maple Frame Studios Inc. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunities, reputational harm, or data loss, arising from or related to the services, even if advised of the possibility of such damages.
Without limiting the foregoing, Maple Frame Studios Inc. is not responsible for:
- Technical failures caused by third-party platforms, venues, vendors, or internet providers;
- Delays or failures caused by weather, transportation issues, power outages, venue restrictions, or unsafe conditions;
- Content inaccuracies in materials supplied or approved by you;
- Any unauthorized use of deliverables by you or third parties after delivery;
- Claims arising from your failure to obtain necessary permissions or consents.
To the fullest extent permitted by law, the total aggregate liability of Maple Frame Studios Inc. for any claim arising out of or relating to the services or these Terms shall not exceed the amount actually paid by you to Maple Frame Studios Inc. for the specific services giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, wilful misconduct, or fraud where such limitation is prohibited.
7. Intellectual Property Rights
Unless otherwise agreed in writing, Maple Frame Studios Inc. retains ownership of all pre-existing intellectual property, tools, workflows, templates, methods, raw project files, project files, editing presets, and creative materials developed or used in the course of providing services.
Upon full payment of all amounts due, and subject to any project-specific agreement, Maple Frame Studios Inc. grants you a non-exclusive, non-transferable licence to use the final delivered video content for the purposes specified in the applicable quote or agreement, such as internal corporate use, marketing, website publication, or social media posting.
Unless otherwise stated in writing:
- Raw footage, working project files, and unused takes remain the property of Maple Frame Studios Inc.;
- You may not alter, edit, resell, sublicense, or distribute the final deliverables in a manner inconsistent with the agreed project purpose without our prior written consent;
- Any third-party assets used in the deliverables may remain subject to their own licence terms;
- Maple Frame Studios Inc. may, unless restricted by a written confidentiality agreement, display completed work or excerpts in our portfolio, website, social media, pitch materials, and showreels for self-promotional purposes.
If you require exclusivity, work-for-hire treatment, or a transfer of copyright, such rights must be expressly agreed in writing and may be subject to additional fees. Any transfer or licence is effective only to the extent permitted under the Copyright Act (Canada) and applicable law.
8. Data Protection and Privacy

9. Force Majeure
Maple Frame Studios Inc. shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, severe weather, fire, flood, pandemic, epidemic, labour disputes, war, terrorism, civil unrest, governmental action, power outages, internet disruptions, equipment failure beyond reasonable maintenance, or transportation interruptions.
Where a force majeure event occurs, we will use reasonable efforts to notify you and to resume performance as soon as reasonably practicable. If the event materially prevents completion of the services, the parties may agree to reschedule, reduce scope, or terminate the project on equitable terms.
10. Changes to Terms
Maple Frame Studios Inc. may update or modify these Terms from time to time. The updated Terms will be effective when posted or otherwise communicated to you, unless a later effective date is stated.
For existing projects, the version of the Terms in effect when the project was booked will generally apply, unless changes are required by law or expressly agreed by both parties. Your continued use of our services after changes are communicated constitutes acceptance of the revised Terms.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them or the services shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that the courts located in British Columbia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, and you attorn to the jurisdiction of such courts. If you are a consumer, this clause applies to the extent permitted by applicable consumer protection legislation.

If necessary, the invalid provision shall be replaced with a valid provision that most closely reflects the original intent of the parties and is enforceable under applicable law.
These Terms, together with any applicable proposal, quote, service agreement, or invoice, constitute the entire agreement between you and Maple Frame Studios Inc. regarding the subject matter described herein and supersede prior or contemporaneous understandings to the extent permitted by law.
